ShopVimCenter Advertising and Content Rules
28 October 2026
These Rules govern advertising, endorsements, brand use and content permissions for the international ShopVimCenter promotion programmes. The Company is VIMGRACE, UNIPESSOAL LDA. A "participant" is a person admitted by the Company to a relevant programme. The Rules apply to posts, affiliate links, videos, reviews, livestreams, direct messages and paid campaigns. The product and target market must be approved before promotion begins.
1 Individual approval and brand permissions
1.1. Each material requires separate approval by an authorised Company representative through ShopVimCenter or email. The approval must identify the final file or text, claims and warnings, product, channel, language, territory, permitted period and any allowed edits. Access to a media library, silence or approval of another material does not grant permission to publish.
1.2. Unless a separate approval states otherwise, an approved Company material is licensed without a separate royalty, nonexclusively and only for the approved promotional purpose and period. You may resize, change format, crop without changing meaning or removing a warning, and insert your approved referral link in the intended location. Substantive edits, translation, new claims, new territories and synthetic alterations require fresh approval.
1.3. Do not register confusing domain names, social handles, advertisements or trademarks, present yourself as the Company’s official account, resell materials, remove attribution or rights notices, or sublicense assets without express authority. Permissions apply only to rights the Company is entitled to grant; any third party limitations communicated with the asset must be followed.
2 Materials created by participants
2.1. The participant keeps the rights they lawfully own in their original content. The Company receives no unrestricted copyright assignment merely because content is submitted or participation is approved. The Company may republish or advertise a participant’s work only after separate agreement identifying that material and its permitted use.
2.2. The individual permission records purpose, media, territory, duration, attribution and the agreed technical edits. The default agreed licence is nonexclusive and royalty free, with no separate fee for the agreed use; a different fee or exclusive arrangement needs an express written agreement. Mandatory rights, including nonwaivable moral rights and data protection rights, are preserved.
2.3. Obtain the rights of photographers, composers, performers and other contributors. Do not assume that a social platform music licence permits Company advertising or republication elsewhere. Identifiable people, private locations and personal information may require separate permissions or another lawful basis. Content involving minors requires specific legal review and appropriate guardian permissions before approval.
3 Advertising disclosures
3.1. A material commercial connection must be disclosed clearly and prominently in the language of the intended audience. For an affiliate recommendation, a suitable statement is: "Ad: I may earn a commission from purchases made through this link." Gifts and other relevant benefits must also be disclosed. The wording must describe the actual relationship and meet applicable local requirements.
3.2. Put the disclosure where the recommendation or link is seen, before a purchase decision and without requiring an expanded caption or a visit to a profile. Include it on each relevant platform and placement. In video, use a prominent visible disclosure and, where needed to be clearly understood, an audible one; repeat it appropriately in livestreams. A platform disclosure tool may help but does not replace an adequate disclosure if the tool is unclear or easily missed.
3.3. For United States audiences, material connection and truthful endorsement rules include the FTC Endorsement Guides and applicable consumer review rules. For Canadian audiences, disclose material connections under the Competition Act. For UK audiences, affiliate advertising must be recognisable as advertising under applicable rules. For EEA audiences, apply the relevant national commercial communication and unfair practice rules. Company approval never removes a disclosure required by the audience’s law.
4 Truthful product statements
4.1. Use only claims the Company has substantiated and approved for the particular product, wording and territory. Do not present an opinion, preliminary study or customer story as established scientific proof. Your reported personal experience must be real and must not imply typical results without adequate evidence of what users can generally expect.
4.2. For foods and supplements promoted in the EU, nutrition and health claims may be used only where lawfully authorised and the product meets their conditions. Required accompanying information must appear in the relevant advertising or labelling as applicable. Claims that a food prevents, treats or cures disease, or replaces medical care, are prohibited. A warning or disclaimer does not make an unlawful claim permissible.
4.3. For United States promotion, do not claim FDA approval for a supplement or use a disease claim prohibited for that product. Any lawful structure or function statement must meet the applicable substantiation, labelling and notification requirements. A statutory disclaimer is required only where the relevant rule applies and does not cure misleading advertising. The product and claim must be legally permitted in the target country and separately approved by the Company.
4.4. Do not promise guaranteed safety, suitability for everyone, guaranteed weight loss, exceptional sporting results, medical outcomes or freedom from side effects without a lawful and adequate basis. Product use and cautions must follow the approved local label. Do not give individual medical advice as the Company’s representative.
5 Earnings and programme claims
5.1. Never promise guaranteed, effortless, risk free, passive or typical high income without reliable and relevant evidence. Do not use lifestyle images or exceptional earnings to create an unsupported impression about ordinary results. Do not state that recruitment alone generates a reward or that joining is an investment.
5.2. Do not publish a private remuneration schedule, numerical income illustration or earnings testimonial without specific Company approval and the disclosures required for the target country. A rate calculation is not evidence of typical income. Where reliable typical results and participant expenses are not available, do not make an earnings representation; “results vary” or “not typical” alone does not cure a misleading impression.
5.3. Participation is voluntary, no purchases or recruitment quotas are required, and advertising costs may exceed earnings. Product purchases must serve genuine demand, not qualification, stockpiling or circular bonus generation. Do not encourage someone to borrow to participate.
6 Reviews and synthetic content
6.1. Fabricated customer experiences, fake or AI-generated reviews, purchased positive or negative ratings, improper suppression of honest criticism, false engagement figures and concealed insider reviews are prohibited. Any permitted incentivised review must reflect genuine experience, disclose the incentive and comply with the platform's rules. Payment or another benefit must never depend on a positive rating. Disclosure does not override a platform prohibition on incentives.
6.2. AI-generated images, voices or demonstrations must not impersonate a person or be presented as genuine customer experience. Required image, voice and intellectual property permissions must be obtained. Where EU AI Act transparency obligations apply, disclosures about deepfakes, AI interaction or other covered content must be clear and made at the required time, including at first exposure where applicable. A disclosure does not legitimise a fabricated endorsement. Private account or customer data must not be entered into an unapproved AI service.
6.3. Environmental and sustainability claims must be specific, substantiated and permitted in the target market. Unsupported general claims such as "green" or "eco-friendly" are prohibited. Sustainability labels must be based on a qualifying certification scheme or established by a public authority. Carbon offsetting must not be used to claim that a product has a neutral, reduced or positive greenhouse gas impact. A claim about one feature must not imply that the whole product or business meets that claim.
7 Prohibited channels and methods
7.1. Unsolicited commercial email, texts or direct messages, address harvesting and concealed advertising are prohibited. Any consent required by the applicable marketing law must be obtained and recorded. Each communication must identify the sender and provide a simple means to stop further marketing. Programme admission or a purchase does not constitute consent to every marketing channel.
7.2. Do not target a business opportunity at minors, exploit vulnerable audiences, use discriminatory or unlawful content, conceal the real destination of a link, or bid on Company brand terms without specific approval. Promotions, competitions, giveaways and discount claims require separate approval of their rules and country conditions.
7.3. Paid campaigns at the participant’s expense require prior approval of material, platform, destination, audience countries, period and budget. There is no guarantee of return or reimbursement; reimbursement requires separate written agreement. Do not substitute a new claim, tracking vendor or destination after approval.
8 Reporting and correction
8.1. Send the Company the publication URL and proof of placement within 1 business day, and available monthly statistics no later than the 5th business day of the following month, through ShopVimCenter or email. Keep the original disclosure, approval and placement evidence for the justified period stated by the Company. Supply only data you are lawfully permitted to share.
8.2. When permission is withdrawn or participation ends, new use must stop immediately. Existing placements must normally be corrected or removed within 3 business days. An urgent unlawful or unsafe claim may require a shorter reasonable deadline. Where removal is outside the participant's control, the participant must promptly notify the Company, preserve evidence and take reasonable steps to stop distribution and request removal. This does not require guaranteed removal of independent internet archives.
8.3. Send a rights complaint to manager@vimgrace.com, identifying the work, disputed placement, your authority, reasons and contact details. The Company provides an initial response within 5 business days confirming receipt, explaining any interim measures and requesting necessary clarification. The final response follows examination of the circumstances within any mandatory legal deadline. The contributor is given an opportunity to respond where lawful. This procedure does not replace a statutory notice, takedown or counter-notice process.
9 Responsibility and enforcement
9.1. The Company may pause an affected campaign, revoke a permission or restrict programme functions for a documented breach. Final exclusion and remuneration adjustments follow the participation agreement and private schedule. There is no automatic confiscation of all earnings for a content complaint.
9.2. The Company remains responsible for its own product claims, approvals and applicable advertiser obligations. Participants remain responsible for their own unauthorised edits, concealed relationships, false experiences and unlawful conduct. Mandatory local rules prevail where stricter than these Rules.
