ShopVimCenter Promotion Programme Participation Agreement

28 October 2026

This Agreement governs participation by creators and partners in approved ShopVimGrace promotion programmes. The Company is VIMGRACE, UNIPESSOAL LDA, identified in the Terms of Use. A "participant" is a person admitted by the Company to a particular programme after accepting its applicable terms. This Agreement and the Advertising and Content Rules apply together with the Terms of Use; the remuneration schedule is provided separately before acceptance.

1 Programme admission

1.1. An applicant must meet the age and legal capacity requirements in the Terms of Use. A creator must have an active social media page or other approved publishing channel under their lawful control with at least 1,000 followers or subscribers. The application identifies the channels, audience and relevant promotional experience. Meeting the numerical threshold does not create an entitlement to approval.

1.2. Admission requires Company review and an approval notice in the account or by email. The Company normally reviews a complete application within 1 to 2 business days. Where verification, missing information or a local legal requirement prevents a decision within that period, the applicant is informed of the reason. Criteria must be applied lawfully; meeting them does not guarantee admission or earnings.

1.3. Partners may have different eligibility and remuneration conditions. No applicant acquires creator rates, a partner rate or another person’s programme simply because that information appears in an example. The applicable programme, country and schedule must be identified and accepted before the relevant remuneration activity is enabled.

2 Nature of the relationship

2.1. Participants decide whether and when to undertake approved promotional activity, use channels under their lawful control and bear their ordinary operating costs unless otherwise agreed in writing. Admission alone does not create employment, a franchise, an equity investment, a deposit, an exclusive agency or authority to bind the Company.

2.2. The legal classification of the relationship follows actual circumstances and mandatory law. A contractual label does not displace employment, tax, agency or consumer protections where they apply. A participant must not conclude sales, collect customer payments, grant warranties, appoint agents, make official company announcements or incur liabilities in the Company’s name without separate written authority.

2.3. Joining does not require buying products, paying an entry fee, maintaining an inventory, recruiting a minimum number of people or purchasing points. Do not imply that purchases or recruitment are necessary to retain eligibility. Genuine product purchases remain subject to the separate store contract.

3 Programme information and remuneration

3.1. The accepted private schedule governs remuneration. It must identify the calculation basis, any applicable levels, eligible transactions, attribution, approval and reserves, payout conditions, currency conversion, adjustments, termination and complaint procedures. The Company must provide the full schedule and a copy that the applicant can retain before acceptance, and keep a record of the accepted terms. A displayed estimate or example does not replace that schedule.

3.2. The Company may restrict the commercial schedule to applicants and participants who need access and may require confidentiality. This does not permit concealing material terms from the person who is asked to accept them, withholding legally required public information, preventing professional advice, or using secrecy to conceal misleading earnings claims.

3.3. Remuneration is tied to genuine eligible product transactions and accepted promotional services. There is no payment merely for registration, recruiting a person, buying a place in a chain or purchasing a right to future earnings. Availability of a multi-level arrangement depends on specific country approval and cannot be inferred from website access.

4 Required participant conduct

4.1. Participants must provide accurate channel, identity, residence, business, tax and payment information when reasonably required and obtain any registration, licence or permission required for their activity. While a necessary legal condition remains unresolved, the Company may suspend the affected function, give reasons and provide a proportionate review process. Unnecessary identity documents must not be requested.

4.2. Use only separately approved materials, claims, links and channels. Clearly disclose a paid, affiliate, free product or other material commercial connection whenever the audience needs it to understand the recommendation. Do not claim to be an independent purchaser when you are promoting for remuneration.

4.3. Do not spam, invent personal experience, purchase fake followers or reviews, make medical or guaranteed income promises, discriminate unlawfully, use another person’s identity, create sham orders, or pressure others to buy stock or recruit. Do not target children with business opportunities or exploit a person’s vulnerability.

5 Approval and paid advertising

5.1. Approval must be recorded through ShopVimCenter or email and identify the material, permitted use and person authorised to approve it for the Company. It applies only to the stated version and scope. Access to the library, silence or approval of another material does not authorise publication.

5.2. Paid advertising funded by the participant requires prior separate approval of the material, platform, link, countries, period and budget. The Company does not guarantee recovery of advertising costs. Reimbursement requires a separate written agreement, and no participant may incur an obligation in the Company’s name without authority.

5.3. The participant sends the publication link and evidence of placement within 1 business day after publication, and available monthly statistics by the 5th business day of the following month, through the account or email. A lawful regulator or platform deadline may require an earlier response reasonably specified by the Company.

6 Personal data and customer relationships

6.1. Participants may use only customer and account information they are lawfully entitled to receive for the stated task. Referral reporting should ordinarily use transaction references, points and amounts rather than customer contact information or identifiable details of other participants’ earnings.

6.2. No permission is granted to export contacts, harvest social audiences, send direct marketing without a lawful basis or disclose another person’s information. If a specific campaign requires processing personal data for the Company, the parties must establish the actual controller or processor roles and enter into the required data arrangement before access is granted.

7 Confidential information

7.1. Protect nonpublic commercial schedules, security information, unpublished materials, personal information and other information reasonably identified as confidential. Use it only for authorised participation and disclose it only to persons who need it and are subject to suitable duties. This obligation continues for 1 year after participation ends; personal data, intellectual property and legally protected trade secrets remain protected for the period required by law.

7.2. Information lawfully public, independently developed or lawfully obtained without a confidentiality duty is excluded. Disclosure to a lawyer, accountant, court, regulator, tax authority or through protected reporting is permitted where lawful and limited to what is needed. A confidentiality clause never prevents reporting unlawful conduct or exercising a mandatory right.

8 Monitoring and corrective action

8.1. The Company may review approved placements and investigate credible evidence of breach, relying on proportionate and lawfully obtained information. It may require correction, suspend use of a material or pause a relevant campaign where necessary. Approval does not excuse a participant’s material omission, undisclosed edit or knowingly false statement; the Company remains responsible for its own legal duties.

8.2. Before excluding a participant for a remediable breach, the Company must normally identify the breach and provide a reasonable opportunity to respond or correct it. Fraud, unlawful advertising, sanctions or a continuing security incident may require immediate restriction. The participant may request review through support. Any remuneration adjustment must follow the accepted schedule and relate to the matter established.

9 Ending participation

9.1. The participant may leave using the confirmed exit function or an authenticated email request. The Company records and confirms the effective time. Closing the programme profile does not automatically close the separate ShopVimGrace customer account or remove retained purchase records.

9.2. New use of Company materials must stop when participation ends or the relevant permission is withdrawn. Existing placements must normally be removed or corrected within 3 business days; an urgent legal or safety issue may require a shorter reasonable period. Participants must take reasonable steps concerning copies under their control, but are not required to guarantee removal of independent internet archives. A permission expressly agreed to survive termination remains effective only within its stated scope.

9.3. Final settlement, pending reserves, return adjustments and referral chain treatment follow the accepted private schedule. Termination alone does not cancel lawfully earned, undisputed amounts. Further admission requires a new Company decision and does not automatically restore a prior chain.

10 Responsibility and applicable terms

10.1. The participant is responsible for their own unlawful statements, unauthorised commitments and deliberate manipulation. A business participant must reimburse the Company for direct, proven and reasonably incurred losses caused by that participant’s culpable material breach, to the extent lawful, after receiving the basis and opportunity to respond. There is no automatic fixed penalty or liability for the Company’s own fault.

10.2. The liability safeguards, notice process, changes, mandatory rights, governing law, complaint channels and company legal information in the Terms of Use also apply to this Agreement. A specific accepted remuneration schedule prevails for its commercial subject; mandatory law prevails in all cases.
